These Terms and Conditions (“Agreement”) govern all web design services provided by Digital Dynamo (“We,” “Us,” “Our”) to you (“Client,” “You,” “Your”). By engaging our services, you agree to the following terms:
1. Services Provided
We agree to provide professional web design and development services as outlined in the proposal or project agreement. These may include:
- Website design and development
- Responsive design
- Basic SEO setup
- E-commerce functionality (if applicable)
- CMS integration
- Maintenance (if included in the agreement)
2. Payment Terms
- A 50% deposit is required to begin work on the project unless otherwise agreed in writing.
- The remaining balance is due prior to launch or handover of the final website.
- Payments not made within 15 days of invoice due date may result in project delays or suspension.
- All payments are non-refundable unless otherwise stated.
3. Client Responsibilities
- You agree to provide all website content (text, images, branding elements, login info, etc.) in a timely manner.
- Delays in providing content may result in extended project timelines.
- You are responsible for securing any necessary copyrights, licenses, or permissions for all materials provided.
4. Timeline
- Timelines provided are good-faith estimates based on project scope and current workload.
- Delays by the Client (e.g., late content, unresponsiveness) may push back the delivery date.
- We will notify you of any anticipated changes to the project schedule.
5. Revisions
- Each project includes a specified number of revision rounds (typically 2 rounds unless otherwise stated).
- Additional revisions may incur extra charges at our current hourly rate.
6. Ownership & Intellectual Property
- Upon full payment, the completed website and design assets (excluding third-party software/plugins/licenses) become your property.
- We retain the right to display the completed work in our portfolio, marketing materials, and social media unless otherwise agreed in writing.
7. Hosting & Domain
- If not included in your package, you are responsible for securing and managing your own hosting and domain.
- We are not liable for issues related to third-party hosting or domain providers.
8. Maintenance & Support
- Ongoing maintenance is not included unless specified in the agreement.
- Support requests beyond the project scope may be billed at our hourly maintenance rate.
9. Website Launch
- Once final payment is received and client approval is given, we will proceed with launching the site.
- After launch, any changes will be considered new work and may incur additional fees.
10. Termination
- Either party may terminate the project in writing.
- If terminated by the Client before completion, all work completed to date will be invoiced, and the deposit is non-refundable.
- We may terminate the project for non-payment, prolonged lack of communication, or breach of terms.
11. Limitation of Liability
- We are not responsible for any loss of revenue, data, or business as a result of website downtime, hacks, or performance issues.
- In no event shall our liability exceed the amount paid by the Client for the services.
12. Legal
- This Agreement shall be governed by the laws of the State of Nevada
- Any disputes arising out of this Agreement shall be resolved in the courts located in Clark County Nevada
13. Acceptance of Terms
By paying the initial deposit or confirming the project start via email, you agree to these Terms and Conditions in full.
